Art 1: There is founded between the members of the present statutes, an association governed by the law of July 1, 1901 and the decree of August 16, 1901 having the title: Earth of choice Terracor

Art 2: This association aims at the creation and management of a place of agritouristic, artistic and wilderness activities in the general interest at human, ecological and economic level as well as the setting up of animations creative.

Art 3: The registered office is fixed to the wood of the holly place-dit Castagnède 31350 MONTMAURIN. It may be transferred by simple decision of the board of directors.

Art 4: The association consists of active members, associate members, associate members, benefactor members and honorary members.

Active members are those who put their knowledge to the service of associative life.
The members participating in the activities proposed by the association are members.
Associate members are associate partners who support the association’s projects.
All those who would like to support the actions undertaken are benefactors.
Honorary members are those who have rendered the services reported to the association who are exempt from membership dues.

Contributions according to the type of membership are defined in the internal rules

Art 5: ADMISSION

To be a member of the association, you must be approved by the association’s collegiate council which decides on applications for admission.

Art 6: RADIATION

Membership is lost by:

resignation
cancellation made by the collegiate council on severe grounds unless recourse to the general assembly.
non-renewal of membership

Art 7: RESOURCES

The association’s resources come from:

of contributions
grants from the European Union, the state, local and regional authorities, and foreign countries
donations from benefactors.
of products inherent in the activities.

Art 8: The duration of the association is unlimited

Art 9: BOARD OF DIRECTORS

The association is administered by a collegiate council composed of active members and associate members of the association over 16 years who wish it. The number is limited to nine active members and three members representing associate members. Members under the age of sixteen have an advisory vote.

In order to be a member of the Board of Directors, it is necessary to have presented yourself at a general meeting and to present your project within the association which must be approved by the general assembly. The collegiate council meets whenever it deems it necessary with a minimum of quarterly meetings and makes its decisions by consensus according to the rules of procedure.

Art 10: ORDINARY GENERAL MEETING

It is held annually by convocation of the collegiate council.

Fifteen days before the date fixed, the agenda is indicated on the convening notices.

A member of the council designated by the latter, assisted by the members of the council, presides over the assembly and sets out the moral position of the association. The members delegated to the secretariat and treasury meetings are members of the collegiate council and are appointed to each GA.

The member delegated to the treasury reports its management and submits the balance sheet to the approval of the assembly.

Minors under 16 years of age will be accompanied or represented by one of their parents.

The votes shall be taken by consensus in accordance with the rules laid down in the Rules of Procedure.

A member of the general assembly who does not have the opportunity to attend the meeting may appoint a member of the meeting to represent him. Each member can only receive one mandate.

Art 11: EXTRAORDINARY GENERAL MEETING

If required, or at the request of one-quarter of the registered members, the active members of the Board may call an extraordinary general meeting,

Fifteen days before the date fixed the agenda is indicated on the convening notices.

The presence of half of the active members is necessary for the validity of the deliberations.

Minors under 16 years of age will be accompanied or represented by one of their parents.

The votes shall be taken by consensus in accordance with the rules laid down in the Rules of Procedure.

A member of the general assembly who does not have the opportunity to attend the meeting may appoint a member of the meeting to represent him. Each member can only receive one mandate.

If a quorum is not reached, a second meeting is convened in the same manner and it deliberates validly regardless of the number of attendees.

Art 12: RULES OF PROCEDURE

An internal by-law may be established by the collegiate council, which shall have it approved by the general assembly.

This possible settlement is intended to fix various points not provided for in the articles of association, in particular those relating to the internal administration of the association.

Art 14: DISSOLUTION

For dissolution, the presence of at least 3/4 of the active members will be necessary. If a quorum of at least 3/4 of the members present at the meeting is not reached, a second meeting will be convened which will decide whatever the number of the present or represented.

If it is pronounced by at least two thirds of the members present at the general meeting, one or more liquidators are appointed by it and the assets, if any, are vested in accordance with Article 9 of the Act of 1 July 1901 and the Decree of 16 August 1901.
